As on June 30, 2026, FCL operates in 13 countries with 40 strategically located delivery centres, ensuring 24×7 support across several time zones.
It provides support in 28 languages including English, French, Spanish, Portuguese, German, Arabic, Mandarin, Italian and Hindi. Its delivery centres in North America cater to local markets, while Latin America provides cultural alignment and time zone proximity to North America. Issue Details/Capital History
The company is coming out with its maiden book building route combo IPO worth Rs. 702.00 cr. (24290657 equity shares at the upper cap). The issue consists of fresh equity shares worth Rs. 500.00 cr. (approx. 17301038 equity shares at the upper cap, and an Offer for Sale (OFS) worth Rs. 202.00 cr. (approx. 6989619 equity shares at the upper cap). The company has announced a price band of Rs. 275 – Rs. 289 per equity shares of Re. 1 each.
The issue opens for subscription on October 14, 2026, and will close on October 16, 2026. The minimum application to be made is for 51 shares and in multiples thereon, thereafter. Post allotment, shares will be listed on BSE and NSE. The issue constitutes 16.83% of the post-IPO paid-up equity capital.
From the net proceedings of the fresh equity issue, the company will utilize Rs. 275.70 cr. for repayment/prepayment of certain borrowings, Rs. 61.15cr. for investment in step-down subsidiaries – Omind Technologies Inc., and Omind Technologies Pvt. Ltd. for upgrading IT tools i.e., Arya and MindVoice, and the rest for general corporate purposes.

For the last three fiscals, the company has posted an average EPS of Rs. 9.18 (Basic) and an average RoNW of 24.59 %. The issue is priced at a P/BV of 5.98 based on its NAV of Rs. 48.35 as of June 30, 2026, and at a P/BV of 3.74 based on its post-IPO NAV of Rs. 77.36 per share (at the upper cap).
If we attribute FY27 annualized earnings to its post-IPO fully diluted paid-up equity capital, then the asking price is at P/E of 18.73. Based on FY26 earnings, the P/E stands at 24.55. The issue appears fully priced based on its recent average performance.
For the reported periods, the company has reported PAT Margins of 3.66% (FY24), 5.59% (FY25), 9.34% (FY26), 11.36% (Q1-FY27), and RoCE margins of 19.56%, 49.73%, 71.59%, 19.84%, respectively, for the referred periods.
